Information Technology
Group Leader: Randall
Whitmeyer
Hutchison Law Group's deep technology start-up experience and strong entrepreneurial mindset have been invaluable strengths as the firm has served hundreds of information technology-based clients. We have become a leader in assisting IT companies through the early years of growth into business and financial maturity.
Our attorneys have hands-on experience helping clients make
strategic decisions on how to build and market their information
technology(IT) effectively. We base our strategic advice in the IT field on
a keen understanding of the technology, the marketplace, a
client's business goals and the law. Our team includes attorneys
who are former programmers, marketing managers, and executives
in the information technology industry.
Our information technology practice is multi-disciplinary, bridging the gap between Corporate and Intellectual Property practice areas. We advise IT companies on public and private securities law and regulatory matters, venture capital and other financings, mergers and acquisitions, employment-related issues, leasing, general corporate matters and intellectual property protection.
We represent IT companies involved in the sale of products
and services related to information technology, and also advise
many non-IT companies on matters related to acquisition
and use of information technology. We represent businesses
and other institutions in the preparation, review, and negotiation
of many agreements, including the following:
Software license |
ASP/hosting |
Strategic alliance |
Service level |
OEM/VAR |
Source code escrow |
Teaming/referral |

We also counsel our clients on e-commerce and privacy-related issues, including health care privacy (HIPAA) and online privacy matters, and prepare privacy, Internet, e-mail and technology use policies.
Representative IT engagements include:
- Preparation and roll-out of a standard license and services
agreement for a leading micro-electromechanical systems
(MEMS) design company.
- Negotiation and documentation of company-wide software license and development agreements with global telecommunications and networking equipment companies.
