Our team includes attorneys who are former programmers, marketing managers, and executives in the information technology industry.

Our information technology practice is multi-disciplinary, bridging the gap between Corporate and Intellectual Property practice areas. We advise IT companies on public and private securities law and regulatory matters, venture capital and other financings, mergers and acquisitions, employment-related issues, leasing, general corporate matters and intellectual property protection.

We represent IT companies involved in the sale of products and services related to information technology, and also advise many non-IT companies on matters related to acquisition and use of information technology.   • Negotiation and documentation of company-wide software license and development agreements with global telecommunications and networking equipment companies.
  • Acquisition of  software businesses from a domestic power company and from foreign individuals.
  • Preparation and negotiation of health care privacy (HIPAA) business associate provisions for a fast-growing medical software company.
  • Representation of a platform technology company in a development and commercialization alliance for improved microelectronics manufacture.
  • Spin-off of a network security company from an established software development business.
  • Representation of healthcare service providers in an acquisition of practice management software.
