Some of the most important transactions for Hutchison Law Group clients involve the buying and selling of companies or significant assets. We actively work with clients considering or engaged in M&A activity through the following:
- Exploring strategic directions for the business, including advantages, disadvantages and limitations of potential M&A transactions
- Assessing feasibility of transactions, including the availability of financing as a means of acquiring a business or as an alternative to selling a business
- Identifying potential targets or potential acquirors and, if applicable, introducing investment bankers to structure a buy or sell process
- Structuring a transaction in a manner that is tax-advantaged, while keeping the business goals of the client in mind
- Drafting and negotiating the Letter of Intent
- Assisting the client through the due diligence process and supporting the production and/or review of documents
- Providing a roadmap for the transaction and post-transaction integration, and keeping the parties moving along that roadmap
- Drafting and negotiating the definitive documents
- Advising on tax, securities, employment, employee benefit and liability issues
- Advising on intellectual property ownership, transfer, and related issues
- Coordinating board, shareholder and third-party (including regulatory agencies in some cases) approvals required to consummate the transaction
- Closing the transaction, including any necessary filings with governmental agencies and monitoring the transfers of funds
- Continued advising with respect to employment and employee benefit issues involved in integrating one business into another
- Post-closing assistance with various matters including non-competition covenants and contingent consideration (earn-outs)
