Venture Capital representation requires a special set of skills, experience, industry knowledge and contacts. In addition to the special set of tax, securities and contract issues that surround a venture capital transaction, our experience and continued day-to-day involvement enables us to advise clients with regard to potential sources of venture capital, current market terms, effects on future growth and financing possibilities, governance and investor relations and many other issues particularly applicable to a company raising venture capital.
Our experience and expertise also extends to other transactions similar in structure to venture capital financings, but having some terms and concerns all their own, specifically, angel financings and strategic investments. Angel funding (i.e., raising capital from high net-worth individuals) raises some specialized legal and business issues and, with the right guidance, can be structured in a way to enhance (not detract from) a company's ability to raise venture capital in the future. Strategic investors often have additional motives and terms surrounding their investments and we can help to make sure that those special motives and terms do not unfairly hamper a company's future development.
Raising outside capital represents an important step in a growth company's life cycle -- it can be a tremendous catalyst and, with the right investor, an opportunity to add a more sophisticated level of business planning and connections to a company's network of advisors. It can also be a trying experience for the business leader who is trying to walk the line between attracting and leveraging capital for his or her business while still retaining value and incentive for the company's historic shareholders and management. There are many potential missteps that can be avoided with professional, experienced guidance.
