Hutchison PLLC, a well-established and highly regarded boutique corporate law firm headquartered in Raleigh, NC, is seeking a Corporate Associate to join its dynamic team. Hutchison’s associates are a vital part of the firm, engaging in hands-on drafting, negotiating, and day-to-day client communication on a daily basis. In addition to working with amazing colleagues, in this position you’ll assist clients who are industry leaders (particularly in the tech and biotech sectors) and are working on interesting and impactful technologies.
Ideal candidates will possess stellar academic credentials and a demonstrated interest in the startup ecosystem or working with growth companies. Some areas of experience that are a (huge) plus for this position are:
- Corporate transactions, including mergers and acquisitions;
- Experience with transactional due diligence;
- Fundraising and financings including venture financings and convertible securities;
- Day-to-day corporate experience including counseling clients, drafting consents, and reviewing contracts; and
- Capitalization tables, Carta, and waterfalls/pro formas.
A North Carolina bar license is highly preferred; the ability to become licensed in NC is required.
